Preamble
These Terms of Service set forth the conditions for participating in SustinaPlus and using the related marketplace and services operated by Energy Connect Co., Ltd. Users must agree to these terms before using the service.
This English draft is prepared for U.S. legal review from the Japanese original. It is adapted for readability and U.S. issue spotting, but it is not a final approved U.S. contract. The Japanese text controls until an approved English version is published.
Article 1. Scope
These terms apply to all use of SustinaPlus, including account registration, project creation, power generation reporting, Element issuance, marketplace transactions, minting, Project Tokens, partner benefits, wallet functions, API use, and related services.
Article 2. Purpose of the Program
SustinaPlus is a sustainability support program that connects renewable energy producers, project hosts, supporters, and sponsors through digital records, tokens, marketplace functions, and project support activities.
The service is not designed to guarantee environmental attribute ownership, energy procurement, carbon credit treatment, investment return, resale liquidity, or regulatory compliance for any user.
Article 3. The Service
The Company provides account, project, marketplace, wallet-linked, payment, support, and related functions designated by the Company. The Company may add, modify, suspend, or discontinue functions as necessary for legal, security, operational, or business reasons.
Article 4. Definitions
- SustinaPlus
- The sustainability support program operated by the Company.
- Project
- A project registered in the service to receive support through Elements, minting, Project Tokens, and related benefits.
- Producer
- A participant who registers renewable power generation facilities and reports generation where supported.
- Supporter
- A participant who supports projects by acquiring or holding Elements or Project Tokens.
- Host
- A participant who creates or operates a project and may provide project benefits.
- Sponsor or Partner
- A participant who supports the program by providing program benefits or sponsorship activities.
- Element
- A digital token issued based on approved renewable generation reporting under the service rules.
- Project Token
- A digital token issued through minting an Element to a project.
- Mint
- The act of applying an Element to a project through the service and related smart contract process.
- Wallet
- A blockchain wallet address or the SustinaPlus Wallet used for supported service functions.
- Marketplace
- The service function through which supported digital tokens may be listed and purchased.
- Sales Fee
- A fee deducted from marketplace sale proceeds at the rate designated by the Company.
Article 5. Participation Requirements
Users must satisfy the eligibility, identity, location, security, and registration conditions designated by the Company. The Company may refuse participation by users who violated prior rules, are connected to prohibited conduct, are subject to sanctions, or are otherwise unsuitable.
For U.S. review purposes, paid, wallet, marketplace, token, partner, or producer functions may be restricted, disabled, or conditioned on additional review, identity checks, location controls, or legal approval.
Article 6. Use of the Service
Users must use the service in accordance with these terms, instructions, laws, and platform rules. Users are responsible for their devices, network environment, wallet operations, tax treatment, and compliance with laws applicable to them.
Article 7. Account Registration
Users must provide accurate registration information and keep it up to date. The Company may reject, suspend, or terminate accounts if information is false, incomplete, outdated, unauthorized, or inappropriate.
Users may not transfer, lend, sell, share, or allow unauthorized use of accounts, credentials, or wallet authentication information.
Article 8. Changes to Registration Information
Users must promptly update registration information when it changes. The Company is not responsible for disadvantages caused by a user's failure to update information.
Article 9. Account Information Management
Users are responsible for managing passwords, authentication codes, devices, wallet credentials, and other account information. Activity performed through a user's account may be treated as activity of that user.
Article 10. Account Deletion, Freeze, and Termination
The Company may delete, freeze, restrict, or terminate accounts where the Company determines that a user violates these terms, falls under refusal grounds, creates legal or security risk, or interferes with service operation.
Article 11. Power Generation Facility Owner Registration
Producer functions require completion of owner registration designated by the Company. The registration flow is designed for Japan-based facilities and Japanese verification materials.
Article 12. Power Plant Registration
To report generation, a registered producer must register the target facility in advance. Current facility registration is based on Japanese systems, including Japanese postal code, prefecture, reception point specific number, and equipment ID conventions.
U.S. renewable facilities are not supported by the current facility registration flow unless the Company separately publishes an approved U.S. flow.
Article 13. Power Generation Reporting
Producers may report generation only for facilities and periods that satisfy the Company-designated conditions. The Company may review, reject, correct, suspend, or cancel reports when information is unverifiable, inconsistent, fraudulent, or inappropriate.
Article 14. Generation Reporting Fee
A generation reporting fee of JPY 0.4 per kWh applies to reported generation where the function is enabled. Payment may be made in Company-designated crypto assets or electronic payment means such as JPYC, converted under the market conversion rules.
Article 15. Element Issuance
When approved reported generation reaches the issuance threshold, one Element may be issued for each threshold unit. Element issuance may be delayed, suspended, corrected, or cancelled if there is a legal, technical, verification, or operational issue.
Article 16. Element Listing
Users who hold eligible Elements may list them on the marketplace in accordance with Company rules. Listings may be removed or restricted for legal, compliance, fraud, security, marketplace, or operational reasons.
Article 17. Element Purchase
Users may purchase listed Elements where marketplace functions and payment methods are enabled. Purchases are final after the required approval, signature, or settlement except where the Company recognizes a material service defect or applicable law requires otherwise.
Article 18. Project Requirements
Projects must be consistent with the purpose of SustinaPlus and must not violate laws, public order, intellectual property rights, consumer protection rules, advertising rules, or Company policies.
Article 19. Project Registration
Hosts must submit accurate project information. The Company may review, reject, suspend, modify, or remove projects when necessary for legal, quality, safety, fraud, rights, or operational reasons.
Article 20. Project Benefits
Project benefits are set by hosts and are the responsibility of the applicable host unless the Company expressly states otherwise. Hosts are responsible for benefit legality, accuracy, delivery, quality, safety, support, tax, and consumer disclosures.
Article 21. Project Changes and Suspension
Hosts may change or suspend projects only in accordance with Company procedures. The Company may require notice to supporters and may restrict changes that are misleading, unfair, or harmful.
Article 22. Project Rank
Project rank is determined by Company-designated criteria based on mint totals and other rules. Rank may affect mint rewards and royalties but does not guarantee revenue, market value, or project success.
Article 23. Project Deletion
The Company may delete or suspend a project if the host violates these terms, the project becomes unlawful or inappropriate, the information is false, or continued operation creates legal, security, user protection, or operational risk.
Article 24. Minting
Minting applies an Element to a project through the service and related smart contract process. Users are responsible for confirming the target project, wallet, network, and transaction before approval or signature.
Article 25. Project Token Issuance
Project Tokens are issued through minting according to the service rules and smart contract conditions. Issuance may be delayed or fail due to wallet, network, relayer, smart contract, external service, or compliance conditions.
Article 26. Supporter Risks
Supporters acknowledge that Project Tokens and Elements may have limited utility, limited transferability, limited liquidity, technical risk, smart contract risk, market risk, tax risk, and regulatory risk. They are not guaranteed to appreciate in value or provide any investment return.
The Company does not provide investment, securities, commodities, tax, accounting, or legal advice. U.S. users must obtain their own professional advice before participating in digital asset transactions.
Article 27. Mint Rewards
When Elements are minted to a project, the Company may pay a mint reward to the applicable host according to project rank and Company rules. Rewards may be withheld, adjusted, or cancelled for refunds, errors, fraud, compliance, or operational reasons.
Article 28. Project Token Listing
Users who hold eligible Project Tokens may list them on the marketplace where the function is enabled. The Company may remove or restrict listings when necessary.
Article 29. Project Token Purchase
Users may purchase listed Project Tokens where marketplace and payment functions are enabled. Purchases are final after required approval, signature, or settlement except where the Company recognizes a material service defect or applicable law requires otherwise.
Article 30. Royalties
When a Project Token transaction is completed on the marketplace, the Company may pay a royalty to the applicable host according to project rank and Company rules. Transactions outside the marketplace are not eligible for marketplace royalty payment.
Article 31. Market Conversion
Where the service converts JPY-denominated fees, prices, rewards, or amounts into crypto assets or electronic payment means, conversion is performed using Company-designated market data and timing. Conversion values are reference values and may differ from actual execution values.
Article 32. Intervention and Freeze
The Company may intervene in, freeze, suspend, reverse in service records, or restrict transactions where it detects or suspects prohibited conduct, fraud, security risk, legal risk, sanctions risk, marketplace abuse, operational error, or user protection concerns.
Article 33. Service Suspension
The Company may suspend or terminate all or part of the service for maintenance, security, network failure, legal changes, regulatory action, business necessity, force majeure, external service failure, or other unavoidable reasons.
Article 34. SNS Posting
Users must not post unlawful, misleading, infringing, defamatory, discriminatory, obscene, violent, fraudulent, or otherwise inappropriate content in connection with SustinaPlus. The Company may remove or restrict content and accounts.
Article 35. Prohibited Conduct
- False registration, impersonation, unauthorized access, credential misuse, or security circumvention.
- Fraud, money laundering, sanctions evasion, terrorist financing, market manipulation, wash trading, self-dealing, or artificial transactions.
- Misleading environmental, sustainability, investment, tax, payment, reward, or benefit claims.
- Infringement of intellectual property, privacy, publicity, consumer, or other rights.
- Use of the service for illegal, regulated, or high-risk activity without Company approval and legal authorization.
- Reverse engineering, scraping, excessive requests, interference with systems, or use that harms the Company or third parties.
Article 36. Cancellation of Registration
The Company may cancel registration, suspend use, remove listings, withhold payments, delete content, or take other measures if a user violates these terms or becomes unsuitable.
Article 37. Rights
Intellectual property rights in the service, software, content, trademarks, data, designs, documentation, and related materials belong to the Company or the applicable rights holders. Users retain rights in their own lawful submissions but grant the Company the rights necessary to operate the service.
Article 38. Anti-Social Forces and Sanctions
Users represent that they are not anti-social forces, sanctioned persons, or persons subject to similar restrictions. Users must not use the service for sanctions evasion, prohibited jurisdictions, or unlawful dealings.
Article 39. User Responsibility
Users use the service at their own responsibility. Users are responsible for their legal eligibility, tax reporting, wallet management, device management, transaction confirmation, project decisions, benefit decisions, and compliance with laws applicable to them.
Article 40. Disclaimer of Warranties
The service is provided as is and as available. The Company does not warrant uninterrupted operation, accuracy, legality for a user's jurisdiction, market value, liquidity, tax treatment, environmental treatment, investment suitability, or fitness for a particular purpose.
Article 41. Damages
Users are responsible for damages caused to the Company or third parties by their breach, misconduct, illegal acts, data misuse, wallet errors, project benefits, or content.
Article 42. Limitation of Liability
To the maximum extent permitted by law, the Company is not liable for indirect, incidental, special, consequential, punitive, lost-profit, lost-data, loss-of-use, token-value, market, tax, wallet, network, external-service, or third-party damages.
Nothing in this draft is intended to exclude liability that cannot be excluded under applicable law.
Article 43. Taxes
Users are responsible for all taxes, reporting, withholding, accounting, and recordkeeping arising from their use of the service, including digital asset transactions, rewards, benefits, sales, purchases, royalties, and transfers.
For U.S. review purposes, users should assume that digital asset transactions may have tax consequences and should maintain their own records.
Article 44. Changes to Terms
The Company may modify these terms when necessary because of law, regulatory guidance, security, operations, business needs, or service changes. The Company will announce material changes by a method it designates.
Article 45. Notices
Notices from the Company may be provided by website posting, account notice, email, service message, or another method designated by the Company.
Article 46. Personal Information
Personal information is handled in accordance with the Privacy Policy. Users must not provide third-party personal information unless they have a lawful basis and authority to do so.
Article 47. API Use
API use is subject to the API Terms of Use, documentation, rate limits, credentials, and security rules designated by the Company.
Article 48. Governing Law and Jurisdiction
Unless an approved English legal document states otherwise, these terms are governed by the laws of Japan, and disputes are subject to the competent court for the Company's registered address as the exclusive court of first instance.
Article 49. Consultation
If an issue arises that is not covered by these terms, the Company and the relevant user will consult in good faith in accordance with the purpose of these terms.
Special Terms for Official Project Generation Support
Article 1. Position
Official project generation support assists hosts in preparing project materials. It does not replace the host's own review, legal responsibility, factual verification, or benefit fulfillment responsibility.
Article 2. Definitions
"Generated content" means text, images, suggestions, or other materials prepared through Company-designated tools or support flows.
Article 3. Scope of Use
Hosts may use generated content only after confirming its accuracy, legality, rights clearance, and suitability for the relevant project.
Article 4. Responsibility
The host remains responsible for project claims, benefit descriptions, intellectual property, consumer disclosures, and compliance.
Article 5. Suspension and Restriction
The Company may suspend or restrict support functions where misuse, rights risk, legal risk, or quality risk is detected.
Advertising Special Terms
Article 1. Position
These advertising special terms apply to advertising and promotional functions in SustinaPlus.
Article 2. Definitions
"Advertiser" means a person who submits, funds, or controls advertising materials. "Advertising materials" include text, images, links, landing pages, claims, and related content.
Article 3. Categories, Caps, and Changes
The Company may set and change advertising categories, display caps, review standards, prices, and formats.
Article 4. Prior Review of Mass Advertising
The Company may require prior review and approval of mass advertising. Approval does not guarantee legality, performance, placement, or results.
Article 5. Thread Advertising
Thread advertising may be displayed according to Company rules and may be removed if it is inappropriate or creates risk.
Article 6. Advertising Standards
Advertising must be lawful, truthful, substantiated, non-misleading, rights-cleared, and suitable for SustinaPlus. U.S.-targeted advertising requires review for consumer protection, environmental marketing, financial promotion, digital asset, privacy, and state law issues.
Article 7. Placement and Non-Guarantee
The Company does not guarantee display position, rank, quantity, click-through, conversion, revenue, or other results.
Article 8. Rights Clearance
Advertisers must secure all rights necessary for submitted materials and grant the Company a license to display, reproduce, adapt, and distribute them for advertising operation.
Article 9. Responsibility and Indemnity
Advertisers are responsible for advertising materials and linked content and must indemnify the Company for related claims and damages.
Article 10. Measurement Data
Measurement data is provided for reference and may be used for improvement, verification, fraud prevention, and reporting. The Company does not warrant audit-grade accuracy.
Article 11. Fees, Changes, and Termination
Advertising fees, billing methods, and conditions are designated by the Company. The Company may change, suspend, or terminate advertising functions.
