SustinaPlus Official Partner Terms

Article 1. Scope

These terms set the conditions for participation in the official partnership program for sponsors under the SustinaPlus program operated by Energy Connect Co., Ltd.

The partnership program enables approved partners to support SDGs-related activities and the development of SustinaPlus by providing program benefits and other sponsorship activities designated by the Company.

These terms form part of the contract for the partner program together with the SustinaPlus Terms of Service, Privacy Policy, advertising special terms, partnership policies, guidelines, partner console rules, and other conditions designated by the Company.

Article 2. Definitions

Terms defined in the SustinaPlus Terms of Service have the same meanings in these partner terms unless otherwise provided. "Partner" means a person or entity approved by the Company to participate in the official partner program. "Program benefits" means goods, services, coupons, experiences, discounts, or other benefits provided by a partner through SustinaPlus.

Article 3. Eligibility and Representations

A partner must have legal capacity, authority, and any required licenses or permissions to provide its benefits and participate in the program. The partner represents that it is not subject to sanctions, anti-social force restrictions, insolvency proceedings, or legal restrictions that would make participation inappropriate.

For U.S.-targeted participation, the partner is responsible for reviewing consumer protection, advertising, sweepstakes, privacy, tax, sanctions, and digital asset rules applicable to its own benefit offering.

Article 4. Application, Review, and Registration

Applicants must submit information designated by the Company. The Company may approve, reject, suspend, or revoke registration based on legal, compliance, quality, fraud, operational, or brand-safety review. Approval does not guarantee ongoing participation or placement.

Article 5. Costs

Unless otherwise agreed, the partner bears all costs required to prepare, provide, deliver, support, and comply with laws regarding program benefits.

Article 6. Program Benefits

The partner is responsible for the truthfulness, legality, quality, safety, availability, fulfillment, delivery, support, and tax treatment of program benefits it provides. The partner must not provide benefits that are unlawful, misleading, unsafe, discriminatory, infringing, or inconsistent with the purpose of SustinaPlus.

Article 7. Continuation, Change, and Suspension of Benefits

The partner must promptly notify the Company of any change, shortage, delay, withdrawal, complaint, recall, legal issue, or other problem affecting program benefits. The Company may suspend or remove benefits when needed for user protection, compliance, quality, or operational reasons.

Article 8. Listing, Advertising, Logos, and Materials

The Company may display partner names, logos, benefit descriptions, and related materials in SustinaPlus. The partner grants the Company a non-exclusive license to use those materials for program operation and promotion. The partner warrants that it has all rights needed for those materials.

Article 9. Account Management and Data Use

The partner must manage its account credentials securely and is responsible for activity under its account. Personal information received for benefit fulfillment may be used only for approved program purposes and must be protected against unauthorized use or disclosure.

Article 10. Nature of the Reward Program

The reward program is an incentive program operated by the Company for eligible partners. It is not a profit-sharing arrangement, securities offering, employment relationship, agency relationship, franchise, or guarantee of revenue.

Article 11. Target Month, Source of Funds, and Base Unit Price

The Company determines the target month, eligible source of funds, and base unit price according to the rules and schedules designated by the Company. The Company may exclude amounts that are refunded, reversed, fraudulent, disputed, abnormal, or otherwise inappropriate.

Article 12. Monthly Valid Fulfillment Count

Monthly valid fulfillment count is calculated based on benefit provision records recognized by the Company. Duplicate, cancelled, fraudulent, abnormal, unsupported, or unverifiable records may be excluded.

Article 13. Count Reduction and Monthly Evaluation Score

The Company may apply reduction, quality, title, and evaluation factors to calculate monthly evaluation scores. These calculations are operational metrics and do not create a vested right until the reward amount is finalized.

Article 14. Allocation Rate and Reward Amount

Reward amounts are calculated using Company-designated formulas, source funds, scores, coefficients, and caps. The Company may round, withhold, offset, or adjust rewards as reasonably necessary.

Article 15. Fraud Exclusion, Outlier Exclusion, and Discretionary Determination

The Company may exclude or recalculate records if it detects fraud, abuse, collusion, self-dealing, artificial transactions, abnormal values, technical errors, policy violations, or other conduct inconsistent with the program.

Article 16. Confirmation, Notice, Objection, and Payment

The Company will notify partners of reward calculations by a method it designates. Partners must raise objections within the designated period. Rewards are paid after confirmation according to the Company-designated method, subject to withholding, tax, compliance, payment rail, and operational restrictions.

Article 17. Withholding, Recalculation, Return, and Setoff

The Company may withhold payment, recalculate rewards, request return of overpaid amounts, or set off obligations if errors, fraud, refunds, disputes, compliance concerns, or violations are discovered.

Article 18. Records and Audit Cooperation

Partners must keep records reasonably necessary to verify benefit provision, reward eligibility, advertising claims, consumer communications, and compliance. Partners must cooperate with audits and inquiries by the Company.

Article 19. Prohibited Conduct

  • False, misleading, deceptive, or unsubstantiated advertising or benefit descriptions.
  • Fraud, abuse, collusion, manipulation, self-dealing, or artificial generation of reward eligibility.
  • Unauthorized use or disclosure of user data.
  • Infringement of intellectual property, publicity, privacy, consumer, or other rights.
  • Offering regulated, unsafe, age-restricted, illegal, or inappropriate goods or services without approval.
  • Conduct that damages the Company, SustinaPlus, users, hosts, producers, or other partners.

Article 20. Suspension, Termination, and Revocation

The Company may suspend, terminate, or revoke partner status if the partner violates these terms, fails review, creates legal or operational risk, harms users or the brand, becomes subject to insolvency or sanctions concerns, or otherwise becomes unsuitable.

Article 21. Non-Exclusivity; No Agency

The partner program is non-exclusive. The partner is an independent contractor and is not an employee, agent, representative, joint venturer, franchisee, broker, or fiduciary of the Company.

Article 22. Confidentiality

Partners must protect non-public information obtained through the program and may use it only for approved program purposes, except where disclosure is required by law or approved by the Company.

Article 23. Damages, Indemnity, and Limitation of Liability

The partner must indemnify, defend, and hold harmless the Company from claims, damages, losses, costs, and expenses arising from partner benefits, partner materials, legal violations, data misuse, advertising claims, or breach of these terms. The Company's liability is limited to the maximum extent permitted by applicable law.

Article 24. Changes to the Program and Terms

The Company may change, suspend, or terminate the partner program, reward program, calculation rules, schedules, or these terms for legal, compliance, security, operational, or business reasons.

Article 25. Withdrawal, Assignment, Governing Law, and Jurisdiction

Partners may withdraw by following Company procedures. Partners may not assign rights or obligations without Company approval. Unless an approved English legal document states otherwise, these terms are governed by Japanese law, and disputes are subject to the competent court for the Company's registered address as the exclusive court of first instance.

Schedule 2. Title Coefficients

Title coefficients are applied under the Company's partner evaluation rules. Japanese title names in the original schedule are translated for convenience and must be reviewed before final publication.
